About these Terms

These Terms & Conditions apply to the website and services of READYRUN PTY LTD (ACN 701 342 092), trading as READYRUN DIGITAL (ABN 50 701 342 092) ("ReadyRun", "we", "us" or "our").

By using this website you agree to these website terms. If you engage us for paid services, the written proposal, quote, scope, service agreement or invoice we issue for that project may contain additional or different terms. Where there is an inconsistency, the specific project agreement takes priority for that project.

02

Website information and estimates

Information on this website is general in nature and may change. Prices, package descriptions, timelines and feature examples are indicative until confirmed in writing for your project.

Submitting an enquiry or interactive estimate does not by itself create a binding project contract. A project begins only when the parties accept the applicable scope and commercial terms in the manner specified in the proposal, service agreement or invoice.

Unless stated otherwise, website prices are in Australian dollars. Any applicable tax treatment, including GST where relevant, will be shown or confirmed in the written quote or invoice.

03

Scope and project delivery

We provide website design and development, ecommerce, branding, digital systems, portals, CRM-style workspaces, automation and related digital services. The exact deliverables, inclusions, exclusions, milestones and acceptance requirements for a project are those set out in the agreed project scope.

Any timeframe shown on the website is an estimate, not a guaranteed completion date unless we expressly agree otherwise in writing. Delivery depends on project complexity, timely client feedback, content, approvals, access, third-party services and other dependencies outside our direct control.

04

Your responsibilities

You are responsible for providing accurate instructions, timely decisions, content, credentials and access reasonably required to perform the agreed work. You must have the right to use any text, images, logos, data, software, trademarks or other material you supply to us.

You must review drafts, proofs, staging builds and supplied information carefully and tell us about errors or required changes within the review period set for the project. Delays in feedback, content or access may move project dates.

You must not ask us to build, host or process content or workflows that are unlawful, infringe another person's rights, mislead users, compromise security or breach a third-party platform's terms.

05

Changes and additional work

Work outside the agreed scope may require a revised quote, change request or additional fees. We will seek approval before carrying out material additional billable work unless the project agreement expressly provides another agreed process.

Feedback that changes an approved direction, introduces new functionality or materially expands content, pages, integrations, automation or data requirements may be treated as additional work.

06

Fees and payment

Project fees, payment stages, due dates, deposits, recurring fees and any late-payment arrangements are those stated in the applicable quote, invoice or project agreement. We do not add payment obligations that were not disclosed or agreed.

Third-party fees such as domain registration, software subscriptions, platform fees, paid fonts, plugins, stock assets, advertising, payment processing or external services may be separate unless expressly included in writing.

If an amount is disputed, both parties should raise and discuss the issue promptly and in good faith. Undisputed amounts remain payable in accordance with the applicable invoice or agreement.

07

Premium Website admin portal add-on

The custom Business Admin Portal advertised on this website is an optional add-on available with a Premium Website. The current advertised add-on price is $599 in addition to the Premium Website price, with an additional $29 per month added to Website Care where the portal service is selected. Current pricing remains subject to confirmation in the project quote.

Each portal is tailored to the particular business. Examples such as leads, clients, cases, invoices, reporting, automation and workflow tools illustrate possible modules only. The modules, data structure, integrations, users, permissions and automation included in a specific portal are confirmed in the agreed scope.

Where the portal add-on is selected, the hosted portal component is supplied with Website Care because ongoing hosting, maintenance and support form part of that service. Any external software, API, email, payment or accounting integration may involve separate third-party terms and fees.

08

Website Care and ongoing services

Website Care and other recurring support plans are ongoing services described in the applicable proposal or plan. Care may include monitoring, support and minor maintenance within the agreed plan limits. It does not automatically include redesigns, new features, major content work or third-party costs.

Where a client chooses not to maintain an eligible care plan, later reactivation may require a review or reactivation fee where that fee was disclosed before reactivation. Current rates and inclusions are confirmed at the time the service is activated or renewed.

08A

Recurring billing and payment authorisation

Where a quote includes Website Care, portal access, AI services or another recurring service, the recurring amount and billing cadence should be shown separately from the one-off project fee. A recurring service does not commence merely because an estimate was submitted.

Unless a specific agreement states otherwise, recurring billing is intended to commence only after the relevant website or digital service is completed or launched and the client has separately authorised the applicable payment method or checkout. The payment provider may require the client to accept its own terms, privacy policy and payment-processing conditions.

Recurring services continue at the agreed cadence until changed, paused or cancelled in accordance with the applicable quote, service agreement and any rights that cannot lawfully be excluded. We will not intentionally process a recurring charge that was not disclosed and authorised. Any price change to an ongoing ReadyRun service will be communicated before the changed rate is applied, subject to the applicable agreement and law.

Failed or overdue payments may affect ongoing hosted or support services only in accordance with the applicable agreement, reasonable notice requirements and Australian law. Nothing in this section excludes or limits rights under the Australian Consumer Law.

09

30-day money-back guarantee

Where the 30-day money-back guarantee is offered for an eligible ReadyRun build, it is an additional promise and does not replace or limit any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.

Eligibility, the claim process, timing, exclusions and the treatment of the live ReadyRun website or system are confirmed in the applicable project agreement. Third-party fees and costs are excluded unless the law requires otherwise. Client-owned domains, email accounts, supplied content, available data exports and approved brand assets remain the client's property.

10

Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies a consumer guarantee, right or remedy under the Competition and Consumer Act 2010 (Cth), the Australian Consumer Law or another law where doing so would be unlawful.

Where consumer guarantees apply to our services, you may have rights if services are not provided with due care and skill, are not fit for an agreed purpose or result you made known to us, or are not supplied within a reasonable time where no time was fixed. Available remedies depend on the circumstances and applicable law.

These Terms are not intended to impose or rely on an unfair contract term. A project-specific term will operate only to the extent permitted by applicable law, including the protections that may apply to standard-form consumer and small-business contracts.

11

Intellectual property and client assets

You retain ownership of material you owned before the project and supply to us, including your domain, email accounts, content, approved brand assets and your business data, subject to any third-party rights.

Ownership or licensing of project deliverables, code, platform-specific components, templates, tools, design systems and third-party materials is governed by the applicable project agreement and the terms of the platform or provider involved. Unless expressly transferred, ReadyRun and third parties retain their pre-existing intellectual property.

You grant us the limited rights reasonably necessary to use client-supplied material to perform the project. Unless you ask us not to and the project agreement says otherwise, we may identify completed public-facing work as part of our portfolio, but we will not intentionally publish confidential business-system data.

12

Third-party services

Projects may depend on third-party services such as hosting, ecommerce platforms, APIs, authentication providers, email delivery, payment providers, analytics, social platforms or other software. Those services are governed by their own availability, security, pricing and terms.

We are not responsible for a third-party service changing, suspending or discontinuing its product, but we will take reasonable steps within the agreed scope to help address resulting issues where support is included.

13

Accounts, portals and security

If we provide an account or portal, you are responsible for keeping credentials secure, using authorised users only and notifying us promptly of suspected unauthorised access. You must not attempt to bypass access controls, probe vulnerabilities without written authorisation, interfere with system operation, automate abusive requests or access data you are not authorised to access.

We use reasonable security controls appropriate to the service, including access restrictions and abuse-prevention measures where available, but no website, network or cloud service can be guaranteed to be completely secure or continuously available.

14

Confidentiality and data

Each party should protect confidential information received for a project and use it only for the project or another authorised purpose. This does not apply to information that is public through no breach, independently developed, lawfully received from another source, or required to be disclosed by law.

Personal information is handled in accordance with our Privacy Policy and any project-specific data-processing terms that apply.

15

Suspension and ending services

Rights to pause, suspend or terminate a paid service are governed by the applicable project agreement. We may also take proportionate action where reasonably necessary to address a serious security risk, unlawful use or material breach, subject to applicable law and any notice requirements in the agreement.

On termination, each party remains responsible for obligations that accrued before termination. Access, export, transition and deletion arrangements for hosted systems are dealt with under the applicable agreement and Privacy Policy.

16

Liability

To the maximum extent permitted by law, each party is responsible for loss caused by its own breach, negligence or unlawful conduct. Neither party is intended to be liable for remote or unforeseeable loss that could not reasonably have been contemplated when the relevant agreement was made.

Any project-specific limitation or allocation of liability must be set out in the applicable written agreement and will operate only to the extent permitted by law. Nothing in these Terms limits liability or rights where the law does not allow that limitation.

17

External links and website availability

This website may link to third-party websites. Links are provided for convenience and do not mean we control or endorse the third party's content, privacy practices or services.

We may update, suspend or change parts of this website from time to time. We do not promise that every page or feature will always be available or error-free.

18

Disputes

If a dispute arises, both parties should first give the other enough information to understand the issue and make a reasonable attempt to resolve it in good faith. This does not prevent either party from seeking urgent relief or exercising rights that cannot be excluded by law.

18A

Electronic communications

You agree that project notices, quotes, invoices, service communications and other business communications may be delivered electronically to the contact details you provide, unless a particular law or agreement requires another method. You are responsible for keeping your contact details reasonably current.

Marketing and promotional electronic messages are handled separately and are subject to applicable consent, sender-identification and unsubscribe requirements.

19

Governing law

These website Terms are governed by the laws of New South Wales, Australia. The governing law for a specific paid project may be stated in the applicable project agreement.

20

Changes to these Terms

We may update these website Terms prospectively to reflect changes to our services, business practices or legal requirements. The current version will be published here with the date it was last updated. A website update does not retrospectively alter an already-agreed project contract or give us an unrestricted right to change an agreed price, scope or material obligation. Changes to an existing project arrangement require the process permitted by the applicable agreement and law.
